In 1999, a team of brand developers, graphic designers, and special effects wizards, joined forces to define the future of marketing.

The result is Rayhawk Corporation, a privately held company located in Southern California that is dedicated to creating state-of-the-art, high impact advertising campaigns.

Soon after its formation, Rayhawk had the privilege of developing online campaigns for several Fortune 500 clients.  These large-scale engagements help forge a long-term strategy – to create high caliber strategy-driven marketing content, and make these resources available to smaller companies that desperately need brand building.

Today Rayhawk has rapidly grown into a full service advertising agency with the capability to deploy web campaigns, print, packaging, TV, and radio.

Non-Licensed Content vs. Licensed Content

Rayhawk offers two basic types of intellectual property:

(i) Non-Licensed Content and (ii) Licensed Content.

Non-Licensed Content is developed from scratch for the sole benefit of a specific client and requires extensive professional services. Licensed Content, on the other hand, is derived from proprietary creative assets that are shared with other Rayhawk clients. Accordingly, developing Licensed Content is quicker and more affordable than developing Non-Licensed Content.

NON LICENSED CONTENT
  1. Rayhawk provides the extensive services required to create advertising content from ground up.
  2. Campaign’s content cannot be derived from Rayhawk’s proprietary creative assets.
  3. Content cannot feature any elements from Rayhawk’s library of tested intellectual property.
  4. Generally results in longer development cycles because the content must be created from scratch.
  5. Requires the client to provide substantial source materials (images, written content, etc.) or pay additional fees for Rayhawk to develop custom-tailored source materials specifically to meet the client’s needs.
  6. Requires a larger upfront capital expenditure - the client must pay 50% of the service fees prior to project commencement and the remaining 50% as milestones towards project completion are achieved. 2
  7. Ideal for large companies with products and services that are established in the marketplace.
  8. Ideal for more static marketing campaigns that do not constantly require changes or new content.
PROS CONS
  • Content is developed from scratch
  • Campaign is composed of unique content not shared with any other Rayhawk clients.
  • Development time and service fees can be reduced if substantial source materials are provided by client.
  • Identity Creation service fees can be paid in 60 monthly installments with NO interest if the client is approved for Rayhawk’s F3 program.
  • Client maintains ownership of the developed Content.
  • Paying 100% of service fees prior to campaign deployment represents a relatively larger capital expenditure for the client. 3
  • Client does not benefit from the reduction in development time and fees that can be derived by utilizing Rayhawk’s proprietary creative assets.
  • Campaign does not benefit from Rayhawk’s library of tested intellectual property.
  • Client must provide substantial source materials to avoid paying additional service fees and extending the content’s development time.
  • Service fees can become burdensome if campaign frequently requires modification or new content.
 
LICENSED CONTENT
  1. Content features intellectual property from Rayhawk’s library of proprietary creative assets which is licensed to the client as per the terms and conditions of a Rayhawk License Agreement.
  2. Campaign generally benefits from “time to launch” advantages that are gained from not creating all the content from scratch.
  3. The client must provide only limited source materials (images, written content, etc.) and avoids paying significant additional fees for Rayhawk to develop custom-tailored source materials specifically to meet the client’s needs.
  4. Requires a smaller up front capital expenditure.  In fact, IF enrolled in the Fantastic Financial Flexibility [F3]™ program up to 75% of Rayhawk’s services fees may be deferred.4 While the client must continue to pay Ongoing Licensing Fees during the term of the License Agreement the deferred service fees do NOT accrue any interest, but must be paid in full when the License Agreement is terminated.  The client also has the option to pay down the deferred service fees prior to termination without incurring any prepayment penalties.  This flexibility to prepay the deferred services fees at any time during the term of the License Agreement gives clients the opportunity to make the license termination process less financially burdensome.
  5. Ongoing Licensing Fees are cost effective and generally affordable for organizations of all sizes with monthly fees amounting to only a fraction of total service fees required to develop the content.
  6. Ideal for rapidly growing companies with products and services that are emerging in a competitive marketplace.
  7. Ideal for more dynamic marketing campaigns that constantly require changes or new content.
PROS CONS
  • A relatively smaller initial capital outlay which can be as low as 25% of the applicable services fees required to develop the content. 5 6 The balance of Rayhawk’s services fees are deferred for the entire term of the License Agreement without accruing any interest via our Fantastic Financial Flexibility program [F3]™.
  • Rayhawk’s F3 program also empowers clients to pay down the deferred service fees prior to License termination with no prepayment penalty.
  • Monthly Ongoing Licensing Fees represent only a fraction of the total service fees required to develop the content and accordingly are cost-effective for organizations of all sizes.
  • Client generally benefits from a reduction in development time and costs that are derived by utilizing Rayhawk’s proprietary creative assets.
  • Client does not have to provide substantial source materials and avoids the heavy costs associated with developing custom-tailored source materials.
  • Allows smaller growing organizations to gain access to the same potent advertising that propels their larger, more established competitors.
  • Content is not developed from scratch.
  • Campaign is composed of content that may be shared with other Rayhawk clients.
  • Client is required to pay Rayhawk the total balance of the all deferred service fees at the termination of the License.
  • Client may only utilize and/or exploit the content while paying Ongoing Licensing Fees.
  • Client is prohibited from utilizing, exploiting, copying, or emulating the content after the Rayhawk License Agreement is terminated.
  • Rayhawk maintains ownership of campaign content and all associated intellectual property.
 
1. While the Services Fees required to complete a project are estimated by Rayhawk Corporation, the services and Service Fees required to develop creative content may vary significantly due to factors and circumstances beyond Rayhawk’s control.  Ultimately, clients are responsible to pay Rayhawk all Service Fees incurred.

2. An exception to this is Identity Creation service fees which can be paid in 60 monthly installments with NO interest via Rayhawk Fantastic Financial Flexibility [F3]™ installment program.

3. In comparison to Licensed Content which has been financed by Rayhawk’s [F3]™ program.

4. Only service fees eligible for financing by Rayhawk’s [F3]™ program may be deferred. Any service fees NOT deferred must be paid when the client executes the Rayhawk License Agreement.

5. This benefit is only available to clients who are approved for the [F3]™ deferred payment program.

6. In comparison to Non-Licensed Content which (with the exception of Identity Creation services) requires the client to pay Rayhawk 100% of the applicable professional service fees prior to content deployment.
